These Terms of Service (“Terms”) apply to your use of the Agora’s carbon mangement solutions (“Service”) provided by One Terra Zero Impact S.L. (“Agora”, “Agora Climate”, “we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference into these Terms.

 

Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you have the right, authority, and capacity to enter into these Terms and to comply with all of the terms and conditions set forth herein.

 

Service Description

The Service is designed to help businesses measure and manage their carbon footprint and offset their emissions by providing an easy-to-use platform for calculating, tracking, and reporting on carbon emissions, identifying and implementing methods for reducing and offsetting these emissions and tailored consulting services to develop a tailored, science-based climate program.

 

Account Creation

In order to use the Service, you will need to create an account with us. You agree to provide accurate, current, and complete information about yourself as prompted by the account creation process and maintain and promptly update your account information if it changes. You are responsible for maintaining the confidentiality of your account and password, and you agree to accept responsibility for all activities that occur under your account.

 

Use of Service

You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Service solely for your internal business purposes and in accordance with these Terms.

 

Restrictions

You agree not to, and not to allow any third party to:

• Modify, adapt, translate, or reverse engineer any portion of the Service
• Use the Service for any illegal or unauthorized purpose
• Interfere with or disrupt the Service or the servers or networks connected to the Service
• Use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party’s use and enjoyment of the Service

 

Intellectual Property

The Service, including all software, technology, text, images, graphics, logos, trademarks, and other proprietary information, is owned by us or our licensors and is protected by copyright and other intellectual property laws. You do not have any right, title, or interest in or to the Service, except as explicitly granted in these Terms.

You acknowledge that in the course of using the Service, you may be given access to confidential information about the Company, including but not limited to its technology, processes, and business plans (“Confidential Information”). You agree to use the Confidential Information only for the purposes of using the Service and not to disclose it to any third party.

 

Payments

The Service is provided on a one-off and / or subscription basis, and you agree to pay all fees and charges associated with your use of the Service in accordance with the pricing and payment terms presented to you for your use of the Service. All fees and charges are non-refundable. We reserve the right to change the fees and charges associated with the Service at any time, and any such changes will be posted on the Service or communicated to you through email.

 

Termination

Either party may terminate these Terms at any time, with or without cause, by giving the other party written notice. Upon termination, your right to use the Service will immediately cease, and we will delete all of your data in accordance with our Privacy Policy.
